Welcome to OptiStack Pro. These Terms and Conditions ("Terms") govern your access to and use of the OptiStack Pro software-as-a-service platform ("Service") provided by Maxwell Slitter Industries ("Company", "we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Service Description

OptiStack Pro is a subscription-based software-as-a-service (SaaS) platform designed for slitting line setup and tooling optimization in the metal processing industry. The Service provides:

  • Arbor stack map generation for top and bottom arbors
  • Inventory management for knives, spacers, and tooling components
  • Machine configuration and preset storage
  • Exportable assembly order lists and build sheets
  • Optimization algorithms for slitting setups

2. Account Registration and Security

To use OptiStack Pro, you must create an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3. Subscription and Billing

3.1 Plans and Pricing

OptiStack Pro is offered on a subscription basis with monthly and yearly billing options. Current pricing is displayed on our website and within the application. All prices are in Indian Rupees (INR) and are exclusive of applicable taxes unless otherwise stated.

3.2 Free Trial

We may offer a 14-day free trial period for new users. During the trial, you will have access to the full features of OptiStack Pro. At the end of the trial period:

  • If you upgrade to a paid subscription, billing will commence immediately
  • If you do not upgrade, your access to premium features will be restricted
  • Your data will be retained for a reasonable period to allow you to upgrade

3.3 Payment Processing

Payments are processed securely through Razorpay, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan.

3.4 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to existing subscribers at least 30 days before taking effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Copy, modify, or distribute any part of the Service without authorization
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service to transmit malicious code or harmful content
  • Resell, sublicense, or transfer your access to the Service

5. Intellectual Property

5.1 Our Rights

OptiStack Pro, including its software, algorithms, design, graphics, and content, is owned by Maxwell Slitter Industries and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.

5.2 Your Data

You retain ownership of all data, configurations, and content you upload or create using the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

7. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Priority support is available to Pro subscribers via email at info@maxwellslitters.com.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXWELL SLITTER INDUSTRIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.

We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or for any other reason at our discretion with reasonable notice.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in India.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
